Microsoft OpenAI partnership Reaffirmed as Both Companies Clarify IP, Cloud and Revenue Terms

The Microsoft OpenAI partnership remains firmly intact, according to a new joint statement released by both companies.

Amid growing headlines about new funding rounds and additional collaborators, the two tech giants moved quickly to clarify that nothing in OpenAI’s latest announcements alters the framework of their long-standing alliance.

Since 2019, what began as a research collaboration has evolved into one of the most strategically important relationships in artificial intelligence — built on deep technical integration, shared infrastructure, and commercial alignment.

IP and Licensing Structure Remains Unchanged

At the heart of the Microsoft OpenAI partnership is a tightly structured intellectual property agreement. The companies confirmed that the OpenAI Microsoft IP license remains exactly as previously disclosed.

Microsoft retains exclusive license and access rights to OpenAI’s intellectual property across models and products. This includes commercial integration rights and deep product-level collaboration.

The joint statement also clarified that partnerships between OpenAI and other cloud providers — including recent collaborations — were always anticipated under the existing agreements. These relationships do not dilute Microsoft’s IP position.

In short, the OpenAI Microsoft IP license framework continues unchanged.

Azure’s Exclusive API Role

Another key clarification centers on cloud infrastructure. Azure remains the exclusive OpenAI API cloud provider for stateless APIs.

This means that all stateless API access to OpenAI models and intellectual property is hosted on Microsoft’s Azure platform — whether customers purchase access through Microsoft directly or via OpenAI.

Importantly, even API calls generated through collaborations between OpenAI and third parties would be hosted on Azure. That reinforces Azure’s role as the exclusive OpenAI API cloud provider for these services.

OpenAI’s first-party products, including Frontier, will also continue operating on Azure infrastructure.

Commercial Terms and Revenue Sharing

The Microsoft OpenAI partnership also retains its commercial structure. Revenue-sharing agreements between the companies remain in place and were designed from the outset to account for OpenAI collaborations with other cloud providers.

In practical terms, this means revenue generated through OpenAI’s broader ecosystem — including partnerships outside Microsoft — continues to flow within the existing revenue-sharing model.

Both companies emphasized that the relationship was structured intentionally to allow each party flexibility to pursue independent opportunities while maintaining deep collaboration.

AGI Definitions and Long-Term Alignment

The companies also confirmed that contractual definitions surrounding artificial general intelligence remain unchanged. The process for determining whether AGI has been achieved continues under the previously agreed framework.

As OpenAI scales — including through infrastructure initiatives like Stargate — it retains the ability to secure additional compute resources. However, these expansions do not alter the terms of the Microsoft OpenAI partnership.

The statement closes with a clear message: both companies remain committed to advancing AI responsibly, expanding access, and continuing their shared mission.

At a time when the AI industry is rapidly evolving, the reaffirmation of the OpenAI Microsoft IP license and Azure’s status as exclusive OpenAI API cloud provider sends a signal of stability in one of tech’s most consequential alliances.
